End User License Agreement (EULA)

This End User License Agreement ("EULA") is a legal agreement between you (either an individual or an entity) and Townet srl regarding your access to and use of the cloud-based software platform SmartBox DataManager provided by Townet srl.

By accessing or using the Software, you agree to be bound by the terms of this EULA. If you do not agree to these terms, you are not authorized to access or use the Software.

If you do not agree to the terms of this EULA, do not access, or use the Software.

Grant of Access

Townet srl grants you a limited, non-exclusive, non-transferable, revocable right to access and use the Software solely as a cloud-based service. The Software is accessed remotely via the internet and is not distributed, installed, or provided for local installation on your devices.

Restrictions

You agree that you will not:

  • Attempt to access the Software in any way other than through authorized means provided by Townet srl.
  • Reverse engineer, decompile, disassemble, or attempt to derive the source code or architecture of the Software.
  • Share, sublicense, lease, rent, sell, or otherwise transfer access to the Software to any third party.
  • Interfere with, disrupt, or compromise the security or integrity of the Software or its hosting infrastructure.
  • Use the Software for any unlawful or unauthorized purpose, or in violation of any applicable laws or regulations.

Ownership

The Software, including all related intellectual property rights, is and remains the exclusive property of Townet or its licensors. No ownership rights are transferred to you under this EULA.

Service Availability and Updates

The Software is provided as a cloud-based service, and its availability is subject to internet access and hosting server performance. Townet srl does not guarantee uninterrupted access but will make reasonable efforts to ensure high availability.

From time to time, townet srl may implement updates, upgrades, or patches to enhance functionality, security, or performance. Access to the Software may be temporarily suspended during such updates.

Privacy and Data Processing

By using the Software, you acknowledge and agree to the processing of your data as outlined in our Privacy Policy. The Software collects and processes limited personal data (email, phone, encrypted password) and telemetry data to improve service quality.

All data processed in the cloud is handled securely and in compliance with applicable data protection regulations, including the GDPR.

Termination

This EULA remains in effect until terminated. Townet srl may terminate your access to the Software immediately if you breach any term of this EULA or use the Software in an unauthorized manner.

Upon termination, your access to the Software will be revoked, and all associated data may be deleted in accordance with our data retention policy.

Limitation of Liability

To the maximum extent permitted by law:

Townet srl shall not be liable for any indirect, incidental, special, or consequential damages arising out of or in connection with your use of the Software. Townet's total liability under this EULA shall not exceed the fees (if any) paid by you for access to the Software.

Disclaimer of Warranties

The Software is provided "as is" and "as available," with no warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement. Townet srl does not guarantee that the Software will be error-free, secure, or available without interruption.

Governing Law

This EULA is governed by the laws of Italy, without regard to its conflict of laws principles. Any disputes arising from this EULA shall be resolved in the courts of Urbino PU IT.

Entire Agreement

This EULA constitutes the entire agreement between you and Townet srl regarding access to and use of the Software and supersedes all prior or contemporaneous agreements, understandings, or representations.

Amendments

Townet srl reserves the right to modify this EULA at any time. Any changes will be communicated to you and may require your acceptance before continuing to use the Software.

By accessing or using the Software, you acknowledge that you have read, understood, and agree to be bound by this EULA.
